Printing Auction Site User Agreement

This is a legal agreement between you, the user, and BRIGHT GLORY RESOURCES LTD., who are the owners of the www.Printing-Auctions.com website. “Printing-Auctions? “Printing-Auctions.com? and “Graphic-Auctions.com?are trading names of BRIGHT GLORY RESOURCES LTD.

This agreement is to be interpreted according to the laws of Europe and USA, and any disputes between BRIGHT GLORY RESOURCES LTD., bidders or other users is to be heard in the European courts.

1. Introduction

Welcome to www.Printing-Auctions.com.

These are the terms and conditions ("Terms and Conditions") applicable to the services (the "Services") provided on, and the use of, the Printing-Auctions Site. By accessing the Printing-Auctions Site, using the Services or by registering as a Buyer (Participant) regardless of your physical location, you agree (on behalf of yourself and any company you represent or act) that: (1) you have read these Terms and Conditions; (2) you understand these Terms and Conditions; and (3) you are bound by these Terms and Conditions in your use of the Services and the Printing-Auctions Site; (4) there will be amendments to these terms from time to time;.(5) you have to accept them before making a bid, or contacting or entering into a contractual relationship with us (the seller).

BRIGHT GLORY RESOURCES LTD. and Printing-Auctions.com are for the use of businesses and those acting on behalf of businesses. They are not for consumer transactions and users and bidders warrant that they are not acting as consumers in a personal or individual capacity but for or on behalf of and with the authority of a company, partnership or other legal entity.

The Services provided on the Printing-Auctions Site enable Participants, amongst other things, to place bids in auctions ("Auctions") online ("Online Auctions").

These Terms and Conditions refer to Online Auctions.

These Terms and Conditions do not apply to persons that wish to sell in Online Auction, who should contact Printing-Auctions to complete a separate off-line process.

The Printing-Auctions Site, Online Transactions are only for use by persons acting within their trade or businesses and may not be used by consumers. We refer to Printing-Auctions who offers to sell goods through the Printing-Auctions Site as a "Seller" and any person offering to buy goods as a "Buyer" regardless of whether any contract of sale is concluded.

2. Participation

(a) Registration

Registration of each buyer is a prerequisite for submitting bids and offers for Online Auctions. The Participants registration form is posted on the Printing-Auctions Site.

The Participant hereby warrants that all information provided to Printing-Auctions on registration is true, accurate and complete and the Participant will immediately inform Printing-Auctions of all changes occurring during the use of the Printing-Auctions Site. After the registration, Printing-Auctions will review the user’s information and checking all the details. Once the user information is proved, Printing-Auctions will authorize the participant right to join the bidding, normally with a limit of how much money they can bid at one time.

(b) Eligibility

Only businesses are allowed to use the Printing-Auctions Site and to participate in Online Auctions. The Online Auctions (i) may only be used for commercial transactions; and (ii) may not be used for consumer transactions.

To register as a buyer on the Printing-Auctions Site you must provide your name, phone number, e-mail address and the name and address of the business you are acting for. Printing-Auctions reserves the right to reject any registration in its sole discretion.

By registering, the Participant represents, warrants and undertakes that it is or acts for a business and has given correct information about its business and contact details as requested in Printing-Auctions?registration procedure and that it will notify Printing-Auctions of any change in its registered details.

(c) Participants accounts

Participants are assigned an account name and password on registration. The Participants are responsible for all actions taken under their account name and password and shall only use their own account name and password. Participants must keep their password safe and shall not disclose it to any other person and shall not permit any other person to utilize their account details. Participants are obliged to complete those transactions that occur using their account name and password.

Participants are allowed to change their password at any time. However, participants need to contact Printing-Auctions in order to change other account information. Printing-auctions will temporarily freeze the user’s account and let them change their information. After the changing, Printing-Auctions will review participants?account again and authorize them rights to join the bidding.

(d) Exclusion of Participants and Rejection or Amendment of Bids and Offers

Without limitation to any other remedies, Printing-Auctions may exclude any Participant from any Online Auctions and block any registration if the Participant has breached or threatens to breach these Terms and Conditions or engages in any behavior which Printing-Auctions in its sole discretion regards as likely to have an adverse effect on the conduct of the Online Transactions, the Classifieds or the reputation of Printing-Auctions.

Furthermore, Printing-Auctions reserves the right in its sole discretion to exclude products from offers and to refuse acceptances, bids or offers as well as to discontinue Online Auctions at any time and/or from time to time.

(e) Information and Notice

You warrant that the information you provide on registering with Printing-Auctions.com will be honest and not designed to mislead or conceal your identity; by accepting these Terms and/or bidding for equipment you warrant that you are legally entitled to do so and that you have the authority to make a bid and the financial capacity to complete the transaction if your bid is accepted. Any notice or communication sent to the email address or physical address given by the user on registration will be deemed to have been delivered to the user, including notification of the placing of a bid, that a users bid has been successful, communications from seller (BRIGHT GLORY RESOURCES LTD.) and invoices or demands. In order to verify the bona fides of bidders their IP addresses and other relevant information will be collected and recorded by BRIGHT GLORY RESOURCES LTD.

(f) using of login

You will keep your username and password safe and will not disclose it to any other person; you will not allow any other person to use your registration details to bid or otherwise use the site, and you will honor any bids made using your registration details, whether or not used with your consent.

You agree that Printing-auctions may at its absolute discretion suspend or ban any person, company or organization from using Printing-Auctions.com, and you warrant that you will not attempt to circumvent this ban by registering under a different username or using the registration of another person, company or organization. BRIGHT GLORY RESOURCES LTD. (the seller) may at its absolute discretion decline to accept or may disallow bids from any user or bidder and are not obliged to give any reason for such decisions.

3. Miscellaneous

These Terms and Conditions may be amended at any time by Printing-Auctions in its sole discretion. Such amendment will be posted on the Printing-Auctions Site and will become effective immediately. Participants are encouraged periodically to review these Terms and Conditions posted on the Printing-Auctions Site. Use of the Services and the Printing-Auctions Site constitutes acceptance of these Terms and Conditions, including any amendments.

Failure or neglect by Printing-Auctions to enforce at any time any of the terms hereof will not be construed nor will it be deemed to be a waiver of the rights of Printing-Auctions hereunder nor in any way affect the validity of the whole or any part of these Terms and Conditions nor prejudice Printing-Auctions rights to take subsequent action.

Participants and Printing-Auctions are independent contractors and no agency, partnership, joint venture, employment or franchise relationship is intended or created by these Terms and Conditions.

4. Termination

Printing-Auctions may, in its sole discretion, terminate these Terms and Conditions with respect to a Participant (without prejudice to its other rights and remedies) and may deny access to the Services immediately without notice for any breach of these Terms and Conditions by that Participant without any liability for Printing-Auctions except in case of past transactions already completed.

5. Role of Printing-Auctions

If you are using the Services as a buyer in an Online Auctions, you are contracting with the relevant Printing-Auctions Group Company named in the Notice to Purchasers for the relevant Auction.

The term "Printing-Auctions" in these Terms and Conditions shall be construed as meaning:

(a) Printing-Auctions website, which maintains and offer the Online Auction services; and

BRIGHT GLORY RESOURCES LTD. group and subsidiaries are the seller (or supplier) of the goods listed on the Printing-Auctions website. BRIGHT GLORY RESOURCES LTD. makes representation and gives warranty including as to title or ownership, the accuracy of the description of the goods, their merchantability, completeness, condition, age or quality.

6. Use of the Printing-Auctions Site and Services

Printing-Auctions grants a limited, non-transferable license to each Participant to access and make use of the Printing-Auctions Site for the purposes of the Participant using, or evaluating the Printing-Auctions Site and the Services in accordance with these Terms and Conditions but not to download (other than page caching) or modify the Printing-Auctions Site, or any portion of the Printing-Auctions Site.

Participants are expressly forbidden from any form of bid manipulation. Buyers may not bid under a false name or as agent for a person who would itself be prohibited by these Terms and Conditions or by the terms and conditions governing the specific Auction in question from placing a bid on a particular lot.

Printing-Auctions does not guarantee continuous, uninterrupted or secure access to the Printing-Auctions Site. The Printing-Auctions Site and Services are provided "as is" and "as and when available", and, to the extent permissible by law, Printing-Auctions excludes all implied warranties, conditions or other terms, whether implied by statute or otherwise, including without limitation any terms as to skill and care or timeliness of performance. Printing-Auctions may change, modify, amend, suspend or discontinue any aspect of the Printing-Auctions Site or the Services at any time without notice and Printing-Auctions reserves the right to impose restrictions on certain features of the Printing-Auctions Site or the Services at any time without notice.

In case of interruption to or suspension of access to the Printing-Auctions Site or the Services, the Participants only remedy will be for Printing-Auctions, in its absolute discretion, to extend the time limit of an offer in an Online Auction for an appropriate period. Participantsaccess to the Printing-Auctions Site may be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or Services. Printing-Auctions will use reasonable endeavors to limit the frequency and duration of any such suspension or restriction.

Participants must take all reasonable steps to minimize loss or damages when accessing the Printing-Auctions Site, including implementing prudent security and back-up features.

In addition to the other obligations set out in these Terms and Conditions, each buyer acknowledges and agrees that by placing a bid in an Auction ("Bid"), it represents, warrants and undertakes that it has the authority and capacity to enter such Bid or make such offer and close the transaction and that any Bid that it makes constitutes an irrevocable offer to buy the lot in question for the full amount of the Bid.

7. Data Protection

Participants undertake that information concerning other Participants and their employees, contractors or agents obtained through the Printing-Auctions Site shall not be used for sending unsolicited commercial messages or for any other purpose other than participation in Online Transactions and in the Classifieds or use of the Printing-Auctions Site.

Participants also agree that they will only use such information in accordance with applicable laws and regulations, including, without limitation, data protection and privacy laws.

To enable the Printing-Auctions Site to use information provided by the Participant, the Participants grant Printing-Auctions on registration a non-exclusive, world-wide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) license to exercise the copyright, trade mark and database rights the Participant has in any information provided and to do so in any media form whether now known or not currently known in order to provide the Services.

The content of the www.Printing-Auctions.com site, including graphic images, text, information and documents are owned by and are the copyright of BRIGHT GLORY RESOURCES LTD. and of other third parties. None of it may be copied, reproduced, published or otherwise used without the express consent of BRIGHT GLORY RESOURCES LTD. or the relevant third party.

8. Payment

Unless otherwise indicated, there is no charge for a Buyer to pay as a Premium. The possible payment will be based on and charged in addition to the amount of the successful bid and will normally be included in the invoice issued by the seller to the successful bidder. The invoice will also include any applicable taxes etc. and unless otherwise agreed is payable in full prior to collection of delivery of the goods.

All bids are made in the currency indicated in the sale details for each lot (EURO as default), and payment must be made in that currency unless otherwise agreed with the seller. When BRIGHT GLORY RESOURCES LTD. provides a currency conversion mechanism this is for illustration purposes only, and the bidder accepts that exchange rate fluctuations and foreign exchange commission’s will affect the final cost.

You agree that you will not attempt to avoid paying for lots purchased via Printing-Auctions.com, attempt to avoid paying fees due to BRIGHT GLORY RESOURCES LTD., post misleading or defamatory statements on the site, send spam or other unsolicited or irrelevant emails to other Printing-Auctions.com users nor attempt to harvest their user details from the site or use Printing-Auctions.com in any other way than that for which it was set up.
